These Terms of Service ("Terms") govern your use of Jendays (jendays.com) and the JWTMS/Bookwell booking platform ("Service") provided by Jendays ("we," "us," or "our"). By using our Service, you agree to these Terms.
1. Acceptance of Terms
By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Service.
You must be at least 18 years old and have the legal authority to enter into agreements on behalf of your business.
2. Service Description
Jendays provides a white-label booking and business management platform for wellness professionals. The Service includes:
- Booking Platform: Online appointment scheduling for your clients
- Business Management: Client management, service configuration, payment processing
- Marketing Tools: Professional booking website, automated communications
- Analytics: Business metrics and reporting
The specific features available depend on your subscription tier.
3. Account Registration
3.1 Account Creation
You must provide accurate and complete information during registration. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.2 Business Verification
We may require verification of your business identity and professional credentials. Providing false information is grounds for immediate termination.
3.3 One Account Per Business
Each business should have one primary account. Additional user accounts are available based on your subscription tier.
4. Subscription Plans and Billing
4.1 Subscription Tiers
We offer multiple subscription tiers with different features and limits:

4.2 Billing
- Subscriptions are billed monthly in advance
- Setup fees, if applicable, are charged once at account creation
- Payment is processed via Stripe using the payment method on file
- All fees are in US dollars unless otherwise specified
4.3 Plan Changes
- Upgrades: Take effect immediately; you are charged the prorated difference
- Downgrades: Take effect at the next billing cycle
- Overages: If you exceed plan limits, you may be prompted to upgrade or reduce usage
4.4 Failed Payments
If payment fails:
- We will attempt to charge again within 3-5 days
- You will receive email notification
- After 14 days of failed payment, your account may be suspended
- After 30 days, your account may be terminated
4.5 Refunds
- Monthly subscriptions are non-refundable
- Setup fees are non-refundable after deployment begins
- Disputes should be submitted within 30 days to support@jendays.com
5. Acceptable Use
5.1 Permitted Use
You may use the Service for:
- Legitimate wellness and personal service businesses
- Managing appointments, clients, and payments
- Communicating with your clients about their appointments
5.2 Prohibited Use
You may NOT use the Service to:
- Conduct illegal activities or promote illegal services
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Send spam or unsolicited communications
- Harass, abuse, or harm others
- Attempt to gain unauthorized access to our systems
- Interfere with the Service or other users
- Resell or redistribute the Service without authorization
- Process payments for services not rendered
5.3 Content Standards
Content you upload or create must not:
- Be false, misleading, or deceptive
- Contain malware or malicious code
- Violate any person's privacy
- Infringe copyrights or trademarks
- Contain adult, violent, or offensive material
We reserve the right to remove content that violates these standards.
6. Your Data and Content
6.1 Ownership
You retain ownership of all data, content, and client information you submit to the Service ("Your Content"). We do not claim ownership of Your Content.
6.2 License to Us
You grant us a limited license to use Your Content solely to provide and improve the Service. This includes:
- Storing and backing up your data
- Displaying your content to you and authorized users
- Processing client bookings and payments
- Generating anonymized analytics
6.3 Data Portability
You can export your data at any time through the dashboard or by contacting support. Upon account termination, you have 30 days to export your data.
6.4 Data Retention
We retain your data as described in our Privacy Policy. After account deletion, data is removed according to our retention schedule, except where required by law.
7. Client Relationships
7.1 Your Responsibility
You are solely responsible for:
- Your relationships with your clients
- The services you provide to your clients
- Compliance with professional licensing requirements
- Handling client disputes and complaints
- Providing appropriate privacy disclosures to your clients
7.2 No Agency
We are a technology provider, not a party to transactions between you and your clients. We do not endorse, guarantee, or assume liability for services you provide.
8. Payment Processing
8.1 Stripe
Payments are processed through Stripe. By using payment features, you also agree to Stripe's Terms of Service.
8.2 Your Stripe Account
You must maintain a valid Stripe account connected to your Jendays account. You are responsible for:
- Stripe fees and charges
- Disputes and chargebacks
- Compliance with payment card industry standards
8.3 Refunds to Your Clients
You control refund policies for your clients. Jendays does not automatically refund client payments; you must process refunds through your dashboard.
9. Intellectual Property
9.1 Our Property
The Service, including software, design, trademarks, and documentation, is owned by Jendays and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
9.2 Your Branding
You may customize your booking site with your own branding (logo, colors, images) within the options provided. You represent that you have rights to any branding you upload.
9.3 Feedback
If you provide suggestions or feedback, we may use it to improve the Service without obligation to you.
10. Service Availability
10.1 Uptime
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
10.2 Modifications
We may modify, update, or discontinue features of the Service. Material changes will be communicated via email or in-app notification.
10.3 Support
Support is provided via email. Response times vary by subscription tier:

11. Termination
11.1 By You
You may cancel your subscription at any time through your dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.
11.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay fees
- Engage in fraudulent or illegal activity
- Remain inactive for 12+ months
We will provide notice before termination except in cases of serious violation.
11.3 Effect of Termination
Upon termination:
- Your access to the Service ends
- Your booking site is deactivated
- You have 30 days to export your data
- Outstanding fees remain due
- Provisions that should survive (liability, disputes) remain in effect
12. Disclaimers
12.1 As-Is Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 No Professional Advice
We do not provide legal, financial, medical, or professional business advice. You are responsible for compliance with laws and regulations applicable to your business.
12.3 Third-Party Services
We integrate with third-party services (Stripe, Google, etc.). We are not responsible for their availability, accuracy, or terms.
13. Limitation of Liability
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JENDAYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
13.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
13.3 Exceptions
These limitations do not apply to liability that cannot be excluded by law or to claims arising from our gross negligence or willful misconduct.
14. Indemnification
You agree to indemnify and hold harmless Jendays, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Disputes between you and your clients
15. Dispute Resolution
15.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at legal@jendays.com and attempt to resolve the issue informally for at least 30 days.
15.2 Governing Law
These Terms are governed by the laws of [Jurisdiction to be specified], without regard to conflict of law principles.
15.3 Arbitration
Any dispute not resolved informally shall be resolved by binding arbitration under the rules of [Arbitration body to be specified]. Class action waiver applies.
15.4 Exceptions

16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Jendays regarding the Service.

We may modify these Terms by posting the updated version on our website. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
16.3 Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
16.4 No Waiver
Failure to enforce any provision does not waive our right to enforce it later.
16.5 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations to a successor in a merger or acquisition.
16.6 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
